Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Cybexsoft Consultancy Services Pvt Ltd ("Cybexsoft", "we", "us"). By accessing our website, creating a client portal account, or using a Cybexsoft product such as our WordPress plugins Cybex SMTP, Cybex Contact Form or Cybex Login Security, you agree to these Terms. If you're using our services on behalf of an organisation, you confirm you have authority to bind that organisation.

Cybexsoft provides custom software development, IT infrastructure management, DevOps, cloud, mobile and web development, UI/UX design, IT consulting and project management services, delivered under individually agreed statements of work (SOWs). We also develop and licence software products — including the WordPress plugins Cybex SMTP, Cybex Contact Form and Cybex Login Security, which are distributed free through WordPress.org, and the paid Pro add-ons sold alongside them — and operate a client portal for account, licence and support management.

Where a specific engagement is governed by a signed SOW or proposal, the terms of that document take precedence over these Terms for matters it specifically addresses.

You're responsible for keeping your account credentials confidential and for all activity under your account. New portal accounts must verify their email address, and both email verification and account status must be active before login is permitted — this is a security control, not a marketing gate.

You agree to provide accurate information when creating an account and to notify us promptly at admin@cybexsoft.com if you suspect unauthorised access.

Licensed products, such as the Pro add-ons for Cybex SMTP, Cybex Contact Form and Cybex Login Security, are activated against one or more domain names using a licence key. A licence is valid only for the domain(s) it has been activated on, verified through our licence verification API.

• ·You may activate and deactivate a domain against your own licence through the client portal, subject to any limits on your plan.
• ·Licence keys are non-transferable except with our written consent.
• ·We may deactivate a licence that we reasonably believe is being used fraudulently, shared outside its terms, or in breach of these Terms — we'll make reasonable efforts to notify you first.
• ·Licence keys remain the property of Cybexsoft, and a Pro licence grants you the right to use the add-on, not ownership of it. Copyright in our source code stays with us throughout.
• ·Nothing in these Terms limits the rights the GNU General Public License already gives you over our free WordPress plugins. Cybex SMTP and Cybex Contact Form are distributed under GPLv2 or later, and Cybex Login Security under GPLv3 or later; you may use, study, modify and redistribute them on those terms, and where a Pro add-on is itself GPL-licensed the same applies to it. What a Pro licence buys is the key, the downloads, the updates and the support — not permission to run code you already have.

For custom software development engagements, ownership of the resulting code and deliverables transfers to the client on full payment, as set out in the applicable SOW — this reflects how we operate: source code is handed over, not held back.

Cybexsoft retains ownership of any pre-existing tools, libraries, frameworks or generic components used to deliver the work, and grants the client a licence to use them as part of the delivered project.

Fees for services are set out in the applicable proposal, SOW or product pricing page. Unless otherwise agreed in writing, project fees are invoiced against milestones and are due within the period stated on the invoice. Licence and subscription fees for products are billed in advance for the selected term.

Late payment may result in suspension of services, managed infrastructure access, or licence verification, after reasonable notice.

You agree not to use our services to violate any law, infringe on others' rights, distribute malware, attempt unauthorised access to our systems, or interfere with the licence verification or authentication systems described elsewhere on this site.

Where we manage infrastructure or provide monitoring under a support agreement, response and uptime commitments are as stated in that agreement (for example, a two-hour first-response target on business days). Outside of a specific written commitment, services are provided on a reasonable-efforts basis without an uptime guarantee.

To the extent permitted by law, Cybexsoft's total liability arising out of or relating to these Terms or any engagement is limited to the fees paid to us for the specific service giving rise to the claim in the twelve months preceding it. We are not liable for indirect, incidental or consequential damages, including loss of profits or data, except where such liability cannot be excluded by law.

You may close your client portal account at any time by writing to admin@cybexsoft.com. We may suspend or terminate access to the portal or a licensed product for breach of these Terms, non-payment, or suspected fraudulent or abusive activity. Termination does not affect obligations that by their nature should survive, including payment for work already delivered and confidentiality.

These Terms are governed by the laws of India. Any dispute arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts having jurisdiction over our registered office.

We may update these Terms from time to time. Material changes will be reflected by updating the effective date at the top of this page. Continued use of our services after a change constitutes acceptance of the updated Terms.
